1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and AB Foundry LLC, doing business as OneBudget ("OneBudget," "we," "us," or "our"), concerning your access to and use of the OneBudget website, mobile application, and related services (collectively, the "Service").

By accessing or using OneBudget, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must discontinue use of the Service immediately. The Service is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Service.

2. Description of Service

OneBudget provides personal finance management tools including transaction tracking, budget management, spending analysis, and financial insights. Our Service connects to your bank accounts through Plaid, a third-party financial data aggregation service, to securely access your transaction data.

OneBudget uses artificial intelligence (Claude 3.5 Haiku) to assist with transaction categorization for ambiguous merchants. All budget calculations and financial computations are performed using deterministic algorithms. For more information about our use of AI, please see our AI Disclaimer.

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with any third party
• Not use the Service for any illegal or unauthorized purpose
• Not violate any laws in your jurisdiction while using the Service

5. Subscription and Billing

OneBudget offers both free and premium subscription tiers. The free tier allows connection of one institution and one account with 12-hour automatic synchronization. Premium features require a paid subscription.

Premium subscriptions are available at $9.99/month (monthly plan) or $79.99/year (annual plan). Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time from your account settings.

6. Use of AI Technology

OneBudget uses Claude 3.5 Haiku, an artificial intelligence model developed by Anthropic, to assist with transaction categorization when Plaid provides low-confidence category data or for ambiguous merchants. AI is used solely for categorization suggestions and never for financial calculations, budget computations, or monetary decisions.

7. Intellectual Property

The Service, including all content, features, functionality, software, designs, text, graphics, and logos are owned by AB Foundry LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Accessing or attempting to access the Service through unauthorized means
• Reverse engineering, decompiling, or disassembling any part of the Service
• Using automated systems (bots, scrapers, etc.) to access the Service
• Attempting to interfere with or disrupt the Service or servers
• Sharing your account with multiple users
• Using the Service to transmit malware or harmful code
• Violating any applicable laws or regulations
• Impersonating another person or entity

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEBUDGET AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Transaction categorizations will be accurate or reliable
• Budget calculations will account for all financial obligations
• Bank connections through Plaid will always be available
• Any errors or defects will be corrected

We rely on Plaid for bank connectivity. Service interruptions, data delays, or connectivity issues with Plaid may affect the accuracy and availability of your financial data.

10. Indemnification

You agree to defend, indemnify, and hold harmless AB Foundry LLC and its affiliates, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms of Service
• Your violation of any third-party rights
• Your financial decisions based on information from the Service

11. California Residents

If you are a California resident, you have certain rights under the California Consumer Privacy Act (CCPA). For information about your privacy rights and how we handle your data, please see our Privacy Policy.

12. Dispute Resolution and Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms of Service or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wyoming, and judgment on the award may be entered in any court having jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against OneBudget.

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms of Service, engage in fraudulent activity, or for any other reason at our sole discretion.

You may delete your account at any time from the Settings page. Upon account deletion, all your financial data will be completely and irreversibly removed from our systems. We do not retain deleted account data except as required by law.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by email or through a prominent notice in the Service. Your continued use of the Service after such notification constitutes acceptance of the modified terms.
